Why Misplacing Accountability Is Becoming A Material Governance Risk
As artificial intelligence becomes embedded across business functions, many organizations are encountering a quiet but consequential challenge: AI governance does not cleanly fit into existing risk and compliance structures.
In practice, AI oversight is often absorbed into privacy, security, or legal teams, and this is understandable because these functions already manage complex regulatory obligations, third-party risk, and emerging technology issues. However, recent regulatory signals, enforcement trends, and real-world AI deployments suggest this approach is increasingly misaligned with how AI systems actually operate, and with how regulators are beginning to evaluate accountability.
The risk is not simply regulatory noncompliance; rather, the risk is the absence of governance structures designed for how AI systems actually operate.
The Structural Mismatch At The Heart Of AI Oversight
Traditional governance frameworks evolve around systems with relatively stable characteristics, such as:
- Defined data inputs and outputs
- Predictable processing logic
- Clear lines of operational control
- Periodic rather than continuous risk assessment
However, modern AI systems challenge each of these assumptions. Large language models (LLMs), retrieval-augmented generation (RAG) systems—AI systems that pull information from internal or external data sources to generate responses—and third-party AI services introduce outputs that may vary depending on inputs, context, and system updates, and shared responsibility across internal teams and external providers. Oversight becomes less about controlling a static process and more about governing ongoing decision-making, use, and impact.
This is where existing governance models begin to strain.
Why AI Governance Does Not Sit Comfortably Within Existing Functions
Privacy programs govern data, not model behavior, and privacy frameworks are ESSENTIAL for assessing how personal data is collected, used, disclosed, and retained. However, AI systems introduce governance questions that extend beyond the traditional data lifecycle analysis, such as:
- Outputs may generate new personal data or sensitive inferences;
- Observed and inferred data may be treated as directly collected from individuals, expanding transparency and accountability obligations; and
- AI systems such as RAG tools may dynamically pull from internal or external data sources, meaning the information used to generate outputs, and therefore the associated risk profile, can change over time.
Recent regulatory developments reinforce the idea that how data is observed, inferred, or generated matters, not just where it originates. This places pressure on governance models that focus narrowly on inputs rather than outcomes.
Privacy teams play a CRITICAL role in surfacing these issues, but they are rarely resourced or mandated to oversee model selection, prompt design, system limitations, or downstream use cases across the enterprise.
Security Programs Manage Control Environments, Not Downstream Harm
Security governance focuses on confidentiality, integrity, and availability. AI systems, however, can be technically secure while still creating material risk through the outputs they generate or the decisions they support. For example:
- AI-generated outputs may produce hallucinations or misleading information that can cause consumer harm even when no security incident has occurred;
- Third-party AI services may meet security standards while still producing results through decision processes that are difficult to fully understand or explain; and
- Routine model updates or system changes may alter AI behavior without triggering traditional security alerts or control failures.
Security oversight remains necessary, but AI governance cannot be reduced to access controls, penetration testing, or threat modeling alone.
Legal And Compliance Oversight Is Often Reactive By Design
Legal and compliance teams are increasingly asked to assess AI-related contracts, regulatory exposure, and policy alignment. However, many AI governance failures occur before legal review, such as:
- Product teams adopt tools before formal AI governance processes are established;
- Vendor relationships evolve faster than contractual controls; and
- Public-facing claims about AI capabilities outpace internal understanding of system limitations.
Where organizations have not yet established formal AI governance processes, responsibility often defaults to legal or compliance teams. However, product and development teams should still implement checkpoints for regulatory and policy review before deploying AI-enabled tools. Legal review remains essential, but it is not designed to function as a continuous, operational governance mechanism embedded in technical and product workflow.
Enforcement Signals Are Reinforcing The Need For Clearer Governance
Regulators are increasingly focused not only on what AI systems do, but on how organizations govern them. In the United States, the Federal Trade Commission (FTC) has entered a more mature phase of AI enforcement, emphasizing transparency, substantiation of claims, and accountability for consumer harm. In parallel, several U.S. state laws are beginning to address automated decision-making and AI systems that have significant impacts on individuals. Rather than treating AI as a novel technical category, regulators are examining whether organizations understand their systems, manage foreseeable risks, and align internal governance with real-world use. Similar signals are emerging globally as well, with regulators and courts assessing whether organizations can explain and justify AI-enabled outcomes, particularly when individuals or consumers are affected. In this environment, fragmented oversight across privacy, security, and legal teams becomes increasingly difficult to defend.
Third-Party AI and RAG Architectures Expose Accountability Gaps
The governance challenge becomes more acute as organizations rely on:
- Third-party AI APIs and hosted models;
- Vendor-controlled updates and configurations; and
- RAG systems that retrieve and incorporate information from internal or external data sources when generating responses.
In practice, seemingly technical decisions, such as who holds API keys, how systems retrieve and incorporate data, or how outputs are monitored, can materially affect legal responsibility, auditability, and risk ownership. Without a centralized governance function, these decisions are often made within individual business units or development teams, sometimes without input from legal, compliance, or a centralized AI oversight,, which increases organizational exposure over time.
What This Means For Your Organization
As AI use expands across functions, organizations may want to reassess whether their current governance structures are aligned with how AI is actually deployed and overseen in practice.
The following questions can help surface early governance gaps:
- Do we have a clear, centralized view of where AI is being used? Many organizations have formal approvals for certain tools, but limited visibility into experimentation by product or engineering teams, AI-enabled features embedded within software tools, or third-party AI integrations adopted by individual departments.
- Are accountability and decision rights clearly defined? When AI governance spans multiple functions without explicit ownership, risk decisions may be made inconsistently, particularly as systems evolve or scale.
- Are we governing AI across its lifecycle, or only at intake? One-time assessments are rarely sufficient for systems that change through model updates, data refreshes, or new use cases.
- How are third-party AI services governed in practice? Organizations may want to examine whether contracts, technical controls, and internal processes reflect how responsibility is exercised day-to-day, not just how it is described on paper.
- Are governance expectations embedded early in product and procurement decisions? Addressing AI considerations late in development often forces difficult tradeoffs between remediation and business disruption.
In practice, these governance challenges are often compounded by the speed and the decentralized nature of AI across organizations. AI tools may be introduced through procurement, embedded within third-party services, or used directly by employees without centralized visibility or oversight. This “wild west” dynamic raises additional questions about the lawful basis for data processing, transparency and choice mechanisms, the impacts of automated decision-making, and internal accountability, issues that extend beyond formal governance structures into day-to-day operational reality. Addressing these challenges requires not only clear governance models but also deliberate, intentional attention to how AI is actually adopted and used across the organization. Taken together, these considerations can help organizations assess whether AI governance is operating as an extension of existing programs or whether more centralized oversight is needed.
Aligning Governance With The Reality Of AI Use
AI governance is moving from an emerging concern to a core element of enterprise risk management, where organizations that continue to treat AI as a subset of existing programs may struggle to demonstrate accountability during regulatory inquiries, audits, or incidents as AI use scales and evolves.
By contrast, organizations that treat AI governance as a standalone imperative, while coordinating closely with privacy, security, and legal teams, are often better positioned to:
- Scale AI responsibly;
- Respond credibly to regulatory scrutiny;
- Reduce downstream remediation and rework; and
- Align innovation with long-term trust and resilience.
As AI becomes more deeply embedded across business functions, governance models will increasingly be assessed not just on their existence, but on how well they align with operational reality. The question is no longer whether AI governance is necessary, but whether governance models reflect the reality of how AI is used today.
